1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the services, website, and products ("Services") provided by Prompt Shields AS ("Company", "we", "our", or "us"), a company registered in Norway with operations in the United Kingdom.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Prompt Shields provides AI security services including:

• Defence Platform for developers, employees, and security teams
• Red teaming and security testing services
• Exploratory AI testing and vulnerability assessment
• Security tools and utilities
• Consulting and advisory services

3. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised access

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Attempt to gain unauthorised access to our systems
• Interfere with or disrupt the Services
• Transmit malicious code or harmful content

5. Intellectual Property

The Services and all content, features, and functionality are owned by Prompt Shields and are protected by international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms. This licence does not include the right to modify, reproduce, distribute, or create derivative works.

6. Payment Terms

For paid Services:

• Fees are as specified in your service agreement or order form
• Payment is due according to the agreed billing cycle
• All fees are exclusive of applicable taxes
• Late payments may incur interest at the applicable statutory rate
• We reserve the right to suspend Services for non-payment

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This includes, but is not limited to, security findings, business processes, and technical implementations.

8. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws including GDPR and the UK Data Protection Act 2018. Where we process personal data on your behalf, we will enter into appropriate data processing agreements.

9. Warranties and Disclaimers

We warrant that our Services will be performed with reasonable skill and care. However, to the maximum extent permitted by law:

• Services are provided "as is" without warranties of any kind
• We do not guarantee that Services will be uninterrupted or error-free
• Security testing cannot guarantee the discovery of all vulnerabilities
• We are not liable for actions taken based on our recommendations

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total liability shall not exceed the fees paid in the 12 months preceding the claim
• We shall not be liable for indirect, incidental, or consequential damages
• We shall not be liable for loss of profits, data, or business opportunities

Nothing in these Terms excludes liability for death, personal injury, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Prompt Shields and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Term and Termination

These Terms remain in effect until terminated. We may terminate or suspend your access to the Services:

• For breach of these Terms
• For non-payment of fees
• If required by law
• Upon reasonable notice for any reason

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Norway. For customers based in the United Kingdom, English law may apply where agreed in writing. Any disputes shall be resolved in the courts of Oslo, Norway, unless otherwise agreed.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of the Services after changes constitutes acceptance of the modified Terms.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Prompt Shields
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our written consent
